These Terms of Service (“Terms”) govern the access to and use of the services provided by Arbexor Consultancy Services Private Limited (“Arbexor”, “Company”, “we”, “us”, or “our”). By accessing our website, engaging our services, or entering into any engagement with us, you agree to be bound by these Terms

2. Scope of Services

Arbexor provides professional consultancy services, which may include but are not limited to:

• Any other services as agreed under a separate written agreement

The specific scope, deliverables, timelines, and fees shall be defined in a separate proposal, statement of work (SOW), or service agreement.

3. Eligibility

By using our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into binding contracts
• Any information you provide is accurate and complete

4. Engagement and Payment Terms

• 4.1 Fees

  Fees for services shall be as agreed in writing prior to commencement of work.

• 4.2 Payment Schedule

  Invoices must be paid within the time period specified on the invoice. Late payments may attract interest and/or suspension of services.

• 4.3 Taxes

  All fees are exclusive of applicable taxes, including GST, unless explicitly stated otherwise.

5. Client Responsibilities

The client agrees to:

• Provide timely access to accurate information and resources
• Cooperate reasonably to enable delivery of services
• Ensure that use of deliverables complies with applicable laws

Delays caused by client inaction may result in revised timelines or additional fees.

6. Intellectual Property Rights

• 6.1 Pre-Existing IP

  Each party retains ownership of its pre-existing intellectual property.

• 6.2 Deliverables

  Unless otherwise agreed in writing, intellectual property created during the engagement shall remain the property of Arbexor until full payment is received. Upon full payment, the client is granted a non-exclusive, non-transferable license to use the deliverables for internal business purposes.

• 6.3 Restrictions

  Clients may not resell, sublicense, or distribute Arbexor materials without prior written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during the engagement, unless disclosure is required by law.

8. Data Protection and Privacy

Arbexor will process personal data in accordance with applicable Indian data protection laws. Any personal data shared shall be used solely for the purpose of providing services.

9. Limitation of Liability

To the maximum extent permitted by law:

• Arbexor shall not be liable for indirect, incidental, special, or consequential damages
• Total liability shall not exceed the fees paid to Arbexor for the specific service giving rise to the claim

10. Indemnification

The client agrees to indemnify and hold harmless Arbexor against any claims, damages, or liabilities arising from misuse of services, breach of these Terms, or violation of applicable laws.

11. Termination

• 11.1 Termination for Convenience

  Either party may terminate an engagement with written notice as per the agreed contract.

• 11.2 Termination for Cause

  Arbexor may terminate services immediately if the client breaches these Terms or fails to make payments.

Upon termination, all outstanding fees shall become immediately payable.

12. Force Majeure

Arbexor shall not be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, government actions, or system failures.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts located in India shall have exclusive jurisdiction.

14. Amendments

Arbexor reserves the right to modify these Terms at any time. Updated Terms will be effective upon publication unless stated otherwise.

15. Severability

If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.

16. Cancellations and Refunds

ARBEXOR CONSULTANCY SERVICES PRIVATE LIMITED believes in helping its customers as far as possible, and has therefore a liberal cancellation policy.

Under this policy: Cancellations will be considered only if the request is made within 9-15 days of placing the order. However, the cancellation request may not be entertained if the orders have been communicated to the vendors/merchants and they have initiated the process of shipping them. ARBEXOR CONSULTANCY SERVICES PRIVATE LIMITED does not accept cancellation requests for perishable items like flowers, eatables etc. However, refund/replacement can be made if the customer establishes that the quality of product delivered is not good. In case of receipt of damaged or defective items please report the same to our Customer Service team. The request will, however, be entertained once the merchant has checked and determined the same at his own end. This should be reported within 9-15 days of receipt of the products. In case you feel that the product received is not as shown on the site or as per your expectations, you must bring it to the notice of our customer service within 9-15 days of receiving the product. The Customer Service Team after looking into your complaint will take an appropriate decision. In case of complaints regarding products that come with a warranty from manufacturers, please refer the issue to them. In case of any Refunds approved by the ARBEXOR CONSULTANCY SERVICES PRIVATE LIMITED, it’ll take 3-5 days for the refund to be processed to the end customer.
